La SEC está apelando el fallo de julio de 2023 que determinó que las ventas de XRP de Ripple en plataformas de activos digitales, las ventas de ejecutivos y otras distribuciones de XRP no constituían contratos de inversión, según una declaración previa al argumento de apelación civil (formulario C). compartido por el abogado James Filan.
“Si el tribunal de distrito otorgó erróneamente un juicio sumario parcial a favor de los demandados con respecto a las ofertas y ventas de XRP de Ripple en plataformas de comercio de activos digitales (y la ayuda e instigación de Garlinghouse y Larsen en esas ofertas y ventas), las ofertas y ventas personales de Garlinghouse y Larsen de XRP y las distribuciones de XRP por parte de Ripple a cambio de una contraprestación distinta al efectivo. Estas cuestiones deben revisarse de novo”, escribió el documento.
En julio de 2023, la jueza Analisa Torres del Tribunal de Distrito de EE. UU. para el Distrito Sur de Nueva York dictaminó que las ventas institucionales de XRP por parte de Ripple eran ofertas de valores no registrados.
Sin embargo, el juez también determinó que las ventas de XRP de Ripple en plataformas de comercio de activos digitales y las ventas de XRP por parte de los ejecutivos de Ripple, Brad Garlinghouse y Chris Larsen, no constituían transacciones de valores.
El tribunal también dictaminó que las distribuciones de XRP de Ripple para la compensación de los empleados y su iniciativa Xpring estaban exentas de la clasificación de valores.
Tras el fallo, se ordenó a Ripple pagar una multa de 125 millones de dólares por ofertas de valores no registrados a través de ventas institucionales de XRP. Esta cifra era inferior a la solicitud inicial de la SEC de casi 2.000 millones de dólares y se esperaba que pusiera fin a la larga disputa legal.
Ahora la SEC ha decidido apelar parte del fallo que favoreció a Ripple, lo que potencialmente extiende el caso hasta principios de 2026. Si la SEC prevalece, Ripple podría enfrentar sanciones adicionales o restricciones operativas.
Al comentar sobre la última presentación de la SEC, el experto en derecho Jeremy Hogan calificó la decisión de la SEC de apelar como una “medida de gallina”.
“La SEC fracasó por completo cuando tuvo la oportunidad de juzgar el caso contra Garlinghouse y Larsen frente a un jurado. Y ahora está tratando de revivir esas afirmaciones. En mi opinión, el pollo se mueve”, Hogan. fijado.
“¿Qué me gusta? Este llamamiento tiene que ver con el dinero. La orden judicial podría cambiar si Ripple perdiera, pero sólo indirectamente (en cuanto al cumplimiento de la orden)”, añadió.
James Murphy, un renombrado abogado criptográfico, dijo que estaba “ligeramente” sorprendido de que la SEC “no haya apelado la sentencia de $0 sobre la devolución”. Anteriormente, el tribunal denegó la solicitud de la SEC de devolver 876 millones de dólares en ganancias de Ripple, lo que limita la capacidad de la SEC para solicitar grandes sanciones por devolución.
Tras la presentación del Formulario C de la SEC, se espera que Ripple presente su propio Formulario C para una apelación cruzada la próxima semana. La empresa podría impugnar la multa de 125 millones de dólares o la decisión de que las ventas institucionales de XRP eran valores.
